Terms of Service

1. Acceptance of Terms

By accessing or using ReplyDaily ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including businesses and their representatives.

2. Description of Service

ReplyDaily provides automated AI-powered reply generation and posting for Google Business Profile reviews. The Service connects to your Google Business Profile via OAuth and uses artificial intelligence to draft and post responses on your behalf according to your configured preferences.

3. Account Registration

To use the Service, you must provide accurate business information and connect a valid Google Business Profile. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Subscription and Payment

• The Service is offered on a monthly or annual subscription basis. Current pricing is shown on our pricing page.
• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Current public plans are charged at checkout and service begins immediately. You may cancel anytime; cancellation applies at the end of the current billing period unless otherwise required by law. If a legacy checkout explicitly displays a trial, its displayed checkout terms control.
• We reserve the right to change pricing with 30 days' written notice to your registered email address.
• Founding Member pricing is locked for the lifetime of your account, provided your subscription remains active and in good standing.

4a. Refund Policy and No-Chargeback Agreement

• Subscription fees are non-refundable once billing has commenced. You may cancel at any time to prevent future charges, but no refund will be issued for the current billing period.
• Backlog Cleanup fees are one-time charges that are non-refundable once work has commenced. Work commences within 24 hours of payment. If you believe work has not commenced, contact us within 24 hours of purchase at billing@replydaily.com.
• Annual plan fees are non-refundable. If you cancel an annual plan, you retain access to the Service until the end of the paid period.

Chargeback Policy: By agreeing to these Terms and completing checkout, you expressly agree not to initiate a chargeback or payment dispute with your bank or card issuer for any charge made in accordance with these Terms. You acknowledge that:

• You reviewed and agreed to these Terms before completing your purchase.
• Your agreement was recorded with a timestamp, IP address, and browser fingerprint at the time of checkout.
• ReplyDaily will contest any chargeback with this evidence, and you may be liable for chargeback fees and collection costs.
• Fraudulent chargebacks may result in permanent account termination and referral to collections.

5. Acceptable Use

You agree not to use the Service to:

• Post false, misleading, or defamatory content in review replies
• Violate Google's Terms of Service or Business Profile policies
• Harass, threaten, or abuse reviewers
• Engage in any illegal activity
• Attempt to manipulate or game review systems

6. AI-Generated Content

ReplyDaily uses artificial intelligence to generate review responses. While we strive for quality and accuracy, AI-generated content may occasionally be imperfect. You are responsible for reviewing and approving responses before they are posted, particularly for negative reviews where our system will request your approval. We are not liable for the content of AI-generated replies that you have approved.

7. Google API Compliance

Our use of Google APIs is subject to Google's Terms of Service and API policies. We access only the data necessary to provide the Service. You grant us permission to access your Google Business Profile data solely for the purpose of generating and posting review replies on your behalf.

8. Healthcare Providers and HIPAA

ReplyDaily is designed to be HIPAA-aware. The Service processes only publicly visible Google review text and generates automated responses. We do not access, store, transmit, or process Protected Health Information (PHI) as defined by the Health Insurance Portability and Accountability Act (HIPAA).

• Google reviews are public content — they are not PHI
• ReplyDaily does not access patient records, medical histories, appointment data, or any clinical information
• Our AI is configured to never reference specific treatments, procedures, diagnoses, or health conditions in generated replies
• ReplyDaily is not a HIPAA Business Associate and does not require a Business Associate Agreement (BAA) for standard use

Healthcare providers using the Service are responsible for ensuring their use complies with applicable laws. If your organization requires a BAA for compliance purposes, please contact us at legal@replydaily.com to discuss enterprise arrangements.

9. Intellectual Property

The Service, including its software, design, and content, is owned by ReplyDaily and protected by intellectual property laws. You retain ownership of your business data and review content. You grant us a limited license to process your data solely to provide the Service.

9. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, error-free operation, or specific results from using the Service. We are not responsible for changes to Google's APIs or policies that may affect the Service.

10. Limitation of Liability

To the maximum extent permitted by law, ReplyDaily shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the three months preceding the claim.

11. Termination

You may cancel your subscription at any time. We may suspend or terminate your account for violation of these Terms. Upon termination, your access to the Service will cease and we will delete your data within 30 days.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
